Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Echo Zero 2026 ("Echo Zero," "we," "us," or "our") governing your access to and use of the Echo Zero platform, including our website at echozero.app, mobile applications, APIs, and all related services (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility

To use the Platform, you must: (a) be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater; (b) have the legal capacity to enter into a binding agreement; (c) not be a resident of, or accessing the Platform from, any jurisdiction where the use of trading agents, cryptocurrency trading, or the Platform is prohibited or restricted by law; and (d) not be listed on any government list of prohibited or restricted parties.

By using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your eligibility at any time and may refuse service or terminate your account if you do not meet these requirements.

3. Description of Services

Echo Zero provides a marketplace platform that enables users to: (a) discover, evaluate, and subscribe to automated trading agents developed by third-party creators; (b) deploy and monetize their own trading agents; (c) interact with trading agents via chat-based interfaces; and (d) track performance, manage portfolios, and earn rewards through platform activity.

Echo Zero is a marketplace and technology platform only. We do not provide financial advice, investment recommendations, portfolio management services, or act as a broker-dealer. All trading decisions are made by autonomous agents or by you directly. Past performance of any trading agent does not guarantee future results.

4. Account Registration and Security

To access certain features, you must create an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information; (c) maintain the security of your account credentials, including passwords and API keys; (d) immediately notify us of any unauthorized access to or use of your account; and (e) accept responsibility for all activity that occurs under your account.

You are solely responsible for safeguarding your account credentials. Echo Zero will not be liable for any loss or damage arising from your failure to maintain adequate security of your account.

5. Trading Agents and Subscriptions

5.1 Subscriber Terms. When you subscribe to a trading agent, you authorize that agent to execute trades on your behalf within the parameters you configure. You acknowledge that: (a) trading involves substantial risk of loss; (b) automated trading agents may malfunction, experience delays, or make trades that result in losses; (c) you are solely responsible for setting appropriate risk controls and position limits; and (d) Echo Zero does not guarantee any return on investment.

5.2 Creator Terms. If you list a trading agent on the Platform, you represent that: (a) you have all necessary rights and permissions to offer the agent; (b) the agent operates as described in its listing; (c) you will not engage in any manipulation of performance metrics; and (d) you will comply with all applicable laws and regulations. Echo Zero reserves the right to remove any agent from the Platform at its sole discretion.

5.3 Fees. Subscription fees, performance fees, and other charges are detailed on the Platform. We reserve the right to modify our fee structure with 30 days' prior notice. All fees are non-refundable except as expressly provided in these Terms or required by applicable law.

6. Wallet and Funds

The Platform utilizes a non-custodial wallet architecture. You retain full ownership and control of your funds at all times. Echo Zero does not hold, control, or have access to your private keys or funds. You are solely responsible for the security of your wallet and private keys. Loss of your private keys may result in permanent loss of your funds, and Echo Zero cannot recover lost keys or funds.

7. Rewards Program

Echo Zero may offer rewards including but not limited to XP points, fee reductions, cashback rewards, and referral commissions. We reserve the right to modify, suspend, or terminate any rewards program at any time. Rewards have no cash value unless explicitly stated. Any attempt to manipulate or abuse rewards programs may result in forfeiture of rewards and termination of your account.

8. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Engage in market manipulation, wash trading, spoofing, or any other form of market abuse
• Misrepresent the performance or capabilities of any trading agent
• Attempt to gain unauthorized access to the Platform, other users' accounts, or our systems
• Use the Platform to launder money, finance terrorism, or engage in other illicit financial activity
• Reverse engineer, decompile, or disassemble any part of the Platform
• Interfere with the proper functioning of the Platform or impose an unreasonable load on our infrastructure
• Use bots, scripts, or automated tools to access the Platform except through our official APIs
• Circumvent or manipulate our fee structure, rewards programs, or referral systems

9. Intellectual Property

The Platform and its contents, features, and functionality, including but not limited to all software, text, graphics, logos, icons, images, and the selection and arrangement thereof, are owned by Echo Zero 2026 or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any trading agents or strategies you develop and list on the Platform. By listing an agent on the Platform, you grant Echo Zero a non-exclusive, worldwide, royalty-free license to display, promote, and facilitate access to your agent on the Platform.

10. Risk Disclosure

TRADING IN CRYPTOCURRENCIES AND DIGITAL ASSETS INVOLVES SIGNIFICANT RISK AND CAN RESULT IN THE LOSS OF YOUR ENTIRE INVESTMENT. You should only trade with funds you can afford to lose. Automated trading agents may amplify both gains and losses. Market conditions can change rapidly and without warning. Echo Zero makes no representations or warranties about the performance or profitability of any trading agent.

You acknowledge that you understand the risks associated with cryptocurrency trading and automated trading systems, and you accept full responsibility for your trading decisions and their outcomes.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, ECHO ZERO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Platform will be uninterrupted, error-free, or secure, that defects will be corrected, or that the Platform is free of viruses or other harmful components.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ECHO ZERO 2026, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ECHO ZERO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Echo Zero 2026 and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your trading activities; or (e) any trading agent you create or list on the Platform.

14. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. You may terminate your account at any time by contacting us. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Echo Zero 2026 is incorporated, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration institution, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

17. General Provisions

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Echo Zero regarding the Platform and supersede all prior agreements and understandings.

Waiver. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
